1. Acceptance of Terms
By accessing or using Vizaye's platform, website, or any related services (collectively, "Services"), you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy, which is incorporated herein by reference.
If you are using Vizaye on behalf of a business, you represent that you have authority to bind that business to these Terms.
If you do not agree to these Terms, do not use our Services. We reserve the right to update these Terms at any time — continued use of Vizaye after changes constitutes acceptance.
2. Our Services
Vizaye provides a SaaS platform for surface material businesses including:
- AI room visualizer — allowing customers to preview surface materials in room scenes
- Live catalog hosting — a permanent, searchable digital catalog at a branded URL
- WhatsApp AI assistant — an AI trained on your catalog to qualify leads and respond to customer enquiries
- QR code generation — linking physical product displays to digital visualizations
- Showroom kiosk mode — a full-screen catalog and visualizer experience for in-store use
- Lead dashboard — tracking and managing enquiries and qualified leads
Vizaye is a B2B platform. Our services are provided to surface material businesses and are not intended for direct use by end consumers.
3. Accounts & Registration
3.1 Account creation
To use the full Vizaye platform, you must register for an account. You agree to provide accurate, complete and current information and to update it promptly if it changes.
3.2 Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@vizaye.com if you suspect unauthorised access to your account.
3.3 Account eligibility
You must be at least 18 years of age and have legal capacity to enter into contracts to create a Vizaye account. Vizaye is for business use only.
4. Acceptable Use
You agree to use Vizaye only for lawful purposes and in a manner consistent with these Terms. You must not:
- Upload false, misleading or fraudulent product information
- Use Vizaye to send unsolicited communications (spam) to customers
- Attempt to gain unauthorised access to Vizaye systems or other users' accounts
- Use automated tools (bots, scrapers) to access Vizaye without our written consent
- Reverse engineer, decompile or disassemble any part of the Vizaye platform
- Use Vizaye to infringe any intellectual property, privacy or other rights
- Upload content that is illegal, offensive, defamatory, or that violates third-party rights
Vizaye reserves the right to suspend or terminate accounts that violate these acceptable use standards, without prior notice where urgent action is necessary.
5. Intellectual Property
5.1 Vizaye intellectual property
All rights in the Vizaye platform, software, design, algorithms, trade marks, and content created by Vizaye are owned by or licensed to Vizaye. These Terms do not grant you any rights in Vizaye's intellectual property except the limited licence to use our Services.
5.2 Licence to use the platform
Subject to your compliance with these Terms and payment of applicable fees, Vizaye grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Vizaye platform for your internal business purposes.
5.3 Feedback
If you provide feedback, suggestions or ideas about Vizaye, you grant us an irrevocable, perpetual, royalty-free licence to use and commercialise that feedback without obligation to you.
6. Customer Content
6.1 Your content is yours
You retain all ownership rights in the product data, images, pricing and other content you upload to Vizaye ("Customer Content"). By uploading Customer Content, you grant Vizaye a limited licence to host, process and display your content for the purpose of providing our Services to you.
6.2 Content standards
You are responsible for ensuring your Customer Content is accurate, does not infringe third-party intellectual property rights, and complies with applicable law.
7. Payments & Billing
7.1 Early access period
Vizaye is currently free during our early access period. No credit card is required and no charges will be applied without prior written notice and your agreement to paid plan terms.
7.2 Paid plans
When paid plans launch, you will receive advance notice. Prices will be stated in INR for Indian customers and in USD or local currency for international customers, exclusive of applicable taxes.
7.3 Taxes
You are responsible for all applicable taxes, duties and levies. For Indian customers, prices will be shown exclusive of GST, which will be applied at the applicable rate.
8. Disclaimers & Warranties
Vizaye is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by applicable law.
We do not warrant that the platform will be available at all times, free of errors, or that AI assistant responses will always be accurate. Nothing in these Terms limits statutory rights that cannot be excluded by contract.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Vizaye's total aggregate liability shall not exceed the greater of: the total fees paid by you in the 12 months preceding the claim, or INR 10,000 where no fees have been paid during the early access period.
Vizaye shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data or business opportunity.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
10. Termination
10.1 By you
You may terminate your Vizaye account at any time by contacting us at hello@vizaye.com.
10.2 By Vizaye
Vizaye may suspend or terminate your account with notice for breach of these Terms, non-payment, or conduct that harms our platform or other users.
10.3 Effect of termination
On termination, your access to the platform will cease. We will retain your data for the periods described in our Privacy Policy and delete it thereafter.
11. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
